Wholesale Terms & Conditions

An order placed through the site is an offer to buy. The contract forms when we send dispatch confirmation, not at the point of payment.

Taking or accepting delivery of goods explicitly implies acceptance of these trading terms and the invoice in full. Our invoices are issued E&OE (errors and omissions excepted).

We may decline an order if stock has sold out, a price has been listed in error, or we can't verify the trade account. If we've taken payment for an order we then decline, you'll be refunded in full.

All prices are in pounds sterling. Our goods are zero-rated for VAT purposes, so no VAT is charged.

We accept the cards and payment methods shown at checkout. Payment is taken in full at the time of order.

We may change prices at any time. Orders already confirmed aren't affected.

Where credit terms have been agreed in writing, invoices not paid by the due date carry our right to charge statutory interest and collection costs under the Late Payment of Commercial Debts (Interest) Act 1988, as amended, and the Late Payment of Commercial Debts Regulations 2002. Interest accrues at 8% above the Bank of England base rate from the date payment falls due.

Delivery timescales are estimates, not guarantees, and time is not of the essence.

Risk in the goods passes to you on delivery. Title passes when we have received payment in full.

Goods are not returnable unless damaged or defective, and must be notified in writing within 14 days of delivery. Shortages must be reported in writing within 3 days of the invoice date. The full policy is at Returns & Refunds, which forms part of these terms.

Garments described as "Made in Italy" are manufactured in Italy. Colour reproduction on screen varies between devices, and small batch variations are normal in garment production.

You may resell our goods under your own store name. Please don't represent yourself as an agent, distributor or franchisee of Urban Bella Clothing without written agreement.

Product photography, styling images and written descriptions on this site belong to us. Trade customers may use our product images to sell our garments through their own channels. Please don't resell, license or pass them to third parties.

"Urban Bella Clothing" and our logo may not be used on your own garments, labelling or packaging.

Nothing here limits our liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be excluded by law.

Subject to that, our total liability for any order is limited to the price you paid for the goods in question. We are not liable for loss of profit, loss of sales, or business interruption.

We handle your information as set out in our Privacy Policy.

These terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.

We may update these terms. The version published here at the time you place your order is the version that applies.
